TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of GHL Nexus (the “Platform”), operated by Crown Agency Group LLC, a Texas limited liability company, located at 5570 FM 423 Ste 250 #4169, Frisco, TX 75036 (“Company,” “we,” “us,” or “our”).

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. DEFINITIONS


1.1 “Platform” means the GHL Nexus SaaS system, including Advisor Mode, Developer Mode, and Execution Mode (MCP Actions), APIs, documentation ingestion systems, AI features, and related services.

1.2 “User,” “you,” or “your” means the individual or entity using the Platform.

1.3 “Execution Mode” means optional functionality allowing the Platform to perform authorized actions in connected third-party systems.

1.4 “Third-Party Platforms” include, without limitation, HighLevel, LeadConnector, and other connected services.

2. ELIGIBILITY


2.1 You must be at least 18 years old to create an account.

2.2 If you use the Platform on behalf of an entity, you represent that you have authority to bind that entity.

2.3 The Platform is designed primarily for business users, including agencies and their employees, but may be used by individuals.

3. PLATFORM DESCRIPTION


3.1 The Platform is an AI-powered automation intelligence and assistance system designed for the HighLevel ecosystem.

3.2 The Platform provides:

  • Documentation-based guidance (Advisor Mode);

  • Production-ready JavaScript generation (Developer Mode);

  • Optional authorized execution of actions inside connected systems (Execution Mode).

3.3 The Platform is not affiliated with, endorsed by, or officially connected to HighLevel or LeadConnector.

4. AI DISCLAIMERS


4.1 The Platform uses artificial intelligence and retrieval-augmented generation.

4.2 AI-generated outputs may contain errors, omissions, or outdated information.

4.3 You must independently review, validate, and test all generated code, automation logic, and configurations before deploying in live environments.

4.4 The Platform does not guarantee:

  • Revenue outcomes

  • Deliverability performance

  • Regulatory compliance

  • Platform compatibility

  • Absence of logic errors

4.5 The Platform does not provide legal, financial, compliance, medical, or other professional advice.

4.6 The Platform is not designed for regulated industry compliance. It does not guarantee compliance with HIPAA, SEC, FINRA, GDPR configurations, or similar regulatory regimes. Users in regulated industries are solely responsible for independent compliance verification.

5. EXECUTION MODE (MCP ACTIONS)


5.1 Authorization

Execution Mode is disabled by default.

Authorization occurs only when you:

  • Explicitly enable Execution Mode;

  • Provide API credentials or tokens;

  • Confirm action requests within the Platform.

5.2 Scope of Authority

The Platform may only act within permissions granted by you. You represent that you have lawful authority to grant such permissions.

5.3 Manual Confirmation

All execution actions require manual confirmation. Bulk destructive actions are not permitted.

5.4 Responsibility

You are fully responsible for:

  • All system changes executed;

  • Effects on customer data;

  • Revenue impact;

  • Workflow modifications;

  • Regulatory consequences.

5.5 Revocation

You may revoke access at any time by:

  • Disabling Execution Mode;

  • Revoking API tokens;

  • Deleting stored credentials.

5.6 Logging

The Platform may maintain audit logs of:

  • Executed actions

  • Timestamps

  • Target resources

  • Confirmation events

for accountability and troubleshooting.

5.7 Safety Controls

We may refuse or block actions that appear abusive, unlawful, or systemically harmful.

5.8 Emergency Suspension

We may immediately suspend Execution Mode if abnormal or harmful behavior is detected.

5.9 Indemnification for Execution

You agree to indemnify and hold the Company harmless from claims arising from authorized execution actions, including third-party platform violations.

6. API KEYS & CREDENTIALS


6.1 You are responsible for safeguarding credentials.

6.2 Credentials are stored using encryption at rest and transmitted using encryption in transit.

6.3 We are not liable for compromise resulting from:

  • Your negligence

  • Third-party breaches

  • Improper token handling

6.4 Tokens are deleted within 90 days of account termination unless required for legal retention.

6.5 We may engage third-party service providers and subprocessors to support hosting, infrastructure, AI processing, logging, monitoring, and payment operations. Such subprocessors may process encrypted credentials or authentication tokens solely as necessary to provide the Platform in accordance with our Subprocessor Schedule and Privacy Policy.

7. WHITE-LABEL & RESALE


7.1 Agencies may rebrand the Platform.

7.2 Agencies may resell access but must:

  • Handle billing independently;

  • Ensure compliance of their clients;

  • Maintain appropriate terms with their end users.

7.3 No reverse engineering, model extraction, scraping, prompt leakage attempts, or system exploitation.

7.4 Tenant isolation is logical through scoped access controls; infrastructure is shared multi-tenant.

8. INTELLECTUAL PROPERTY


8.1 We retain all rights to:

  • Platform architecture

  • Documentation indexing

  • Prompts

  • Orchestration logic

  • Knowledge compilation

8.2 You retain ownership of your inputs.

8.3 You receive a license to use generated outputs.

8.4 We may use anonymized, aggregated usage data for improvement.

8.5 Feedback is granted under a perpetual, royalty-free license.

9. SUBSCRIPTIONS & BILLING


9.1 Subscriptions may be monthly, quarterly, or annual.

9.2 Subscriptions automatically renew.

9.3 No refunds.

9.4 Founder plans are grandfathered unless terms are violated.

9.5 We may change pricing at any time without notice.

9.6 Free trials may be revoked for abuse.

9.7 Founder and Beta access may be subject to additional terms set forth in the Founder & Beta Addendum, which forms part of these Terms.

10. ACCEPTABLE USE


You may not:

  • Use the Platform unlawfully;

  • Send spam or abusive automations;

  • Attempt security circumvention;

  • Extract system prompts;

  • Engage in political campaign automation violating laws;

  • Use in sanctioned jurisdictions.

11. SECURITY


11.1 We implement reasonable administrative, technical, and organizational safeguards.

11.2 You are responsible for:

  • Enabling 2FA (when available);

  • Using least-privilege credentials;

  • Maintaining credential hygiene.

11.3 In case of a security incident, we will provide notice where legally required.

11.4 We may engage third-party subprocessors to support hosting, AI processing, logging, analytics, payment processing, and communications. A current list of subprocessors is maintained in our Subprocessor Schedule, which forms part of these Terms.

12. LIMITATION OF LIABILITY


12.1 Liability is capped at the greater of:

  • Fees paid in the preceding 12 months; or

  • $1,000 USD.

12.2 We are not liable for:

  • Lost profits

  • Data loss

  • Third-party outages

  • Automation failures

  • Revenue impact

  • Indirect or consequential damages

13. INDEMNIFICATION


You agree to indemnify and defend the Company against claims arising from:

  • Your use of the Platform;

  • Execution Mode actions;

  • Regulatory violations;

  • Third-party platform breaches;

  • Customer disputes.

14. TERMINATION


14.1 We may suspend or terminate for:

  • Abuse

  • Security risks

  • Nonpayment

  • Legal violations

14.2 Data is retained for up to 90 days after termination, then deleted.

14.3 Credential access is revoked upon termination.

15. GOVERNING LAW & ARBITRATION


15.1 These Terms are governed by Texas law.

15.2 All disputes shall first be resolved through binding arbitration administered by the American Arbitration Association in Dallas, Texas.

15.3 Class action waiver applies.
